SC Money Terms

Terms for service invoice requests and the SC OS Finance connection.

1. Provider, scope and acceptance

SC Money is provided by Simple Connect L.L.C, doing business as Simple Connect (SC). These terms govern SC Money, the website checkout and the QuickBooks invoice connection within Simple Connect OS. They apply when you expressly accept them. A signed service agreement or order governs the purchased services, scope, pricing, renewal, cancellation, refunds and any conflicting terms. You must have authority to act for the business whose billing details you submit. Save or print these terms for your records.

2. Permitted use and ownership

SC grants you a limited, nonexclusive, nontransferable permission to use the checkout and your authorized invoice records for legitimate business purposes. SC retains ownership of its software, workflows and other intellectual property; you retain ownership of your existing data and materials. Do not bypass security, access another person’s records without permission, submit fraudulent requests, introduce malicious code or use the app unlawfully. SC may suspend access reasonably needed to address misuse or a security threat, subject to applicable law and your signed service agreement.

3. Invoice requests and payment

Review the selected package, billing period, setup fee and initial service charge before requesting an invoice. The invoice request does not itself authorize automatic card or bank charges. Future billing, service activation, renewal, cancellation and refunds follow the applicable signed service agreement or order. Any taxes or adjustments must be disclosed on the invoice; contact SC before payment if an amount or service scope is incorrect. Payment is made on an Intuit-hosted invoice page. Payment services are provided by Intuit Payments Inc. SC’s checkout does not collect payment card numbers or bank-account credentials. Do not pay an invoice twice when an earlier payment outcome is uncertain.

4. QuickBooks connection

SC Money connects SC’s own QuickBooks company to SC OS Finance. Checkout buyers do not connect their own QuickBooks accounts through this app. Only an authorized SC operator may connect or disconnect the SC company. The connection creates customer and invoice records for requested SC purchases, requests invoice email delivery, obtains hosted invoice links, and reads invoice totals and balances for Finance reconciliation. Intuit services are subject to their own applicable terms and privacy policy. SC Money is provided by SC; Intuit does not provide SC’s services.

5. Availability, disconnection and records

Provider outages, delayed responses or uncertain outcomes may require manual reconciliation. An email-send status records provider acceptance and does not prove inbox receipt. Review an invoice and its actual payment record before relying on a displayed status. An authorized SC operator may disconnect through SC OS Finance or revoke the app in QuickBooks. Disconnection prevents new normal API operations through that connection and removes its access and refresh tokens from the active connection record. Requests already in progress may still complete at the provider. Existing QuickBooks invoices and SC Finance records remain, subject to applicable retention duties and the Privacy Policy. Maintenance or security measures may temporarily interrupt access.

6. Warranties and responsibility

Except for express commitments in a signed service agreement and rights that cannot legally be excluded, SC Money is provided AS IS and AS AVAILABLE. To the extent permitted by law, SC disclaims implied warranties of merchantability, fitness for a particular purpose, title and noninfringement. SC does not guarantee uninterrupted access, error-free provider responses, invoice delivery, collection, revenue or business results. You are responsible for accurate information, your authority and lawful use. Nothing in these terms excuses SC from obligations or remedies that applicable law makes nonwaivable.

7. Liability and third-party claims

To the extent permitted by law and unless a signed service agreement provides otherwise, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, including lost profits, revenue, goodwill or data, arising from SC Money. SC’s aggregate liability arising from SC Money is limited to the service fees paid or payable for the selected plan during the three months immediately preceding the first event giving rise to the claim. These limits do not apply to fraud, willful misconduct, gross negligence where limitation is prohibited, express indemnity obligations, or other liability that cannot legally be limited; your payment obligations remain due. To the extent permitted by law, you will defend and indemnify SC against third-party claims caused by billing data or materials you provide without authority, your unlawful use or your infringement of another person’s rights. SC must promptly notify you and reasonably cooperate at your expense; you may control the defense using reasonably acceptable counsel, but may not admit SC’s fault or impose nonmonetary obligations on SC without its consent. Any indemnity in a signed service agreement controls conflicting provisions.

8. Disputes and general terms

Unless a signed service agreement states otherwise, the parties will attempt good-faith resolution for 15 days after written notice of a dispute, except when urgent protective relief is needed. Texas law governs, subject to mandatory applicable law, and disputes may be brought in courts with jurisdiction in Bexar County, Texas. This does not remove any nonwaivable right to another forum. If a provision is unenforceable, it is limited to the extent lawful and the remainder continues. Failure to enforce a provision is not a waiver. Changes apply prospectively after notice and any acceptance required by law; they do not retroactively alter a completed purchase or a signed service agreement.
